CALL FOR NOMINATIONS: 2011 Board of Directors
  
The Environmental Markets Association is calling for nominations for three (3) openings on the Board of Directors for 2010/2011. Terms last for three (3) years beginning in September 2010. Nominees must be current members in good-standing with the EMA.

Board Member Responsibilities and Guidelines
The primary role of the EMA Board of Directors is governance. The Board of Directors is the ultimate legal authority of the Environmental Markets Association. The EMA is incorporated in the State of Illinois as a nonprofit corporation and is recognized by the IRS as a 501(c) 6 nontaxable trade association. It is the primary responsibility of the Board to:
 
  • Determine and promote EMA's mission and purpose.
  • Ensure effective organizational (strategic) planning.
  • Determine, monitor and strengthen EMA's programs and services.
  • Allocate adequate resources for programs and services.
  • Establish policies necessary to carry out EMA's mission, programs and services.
  • Determine EMA's positions as they relate to public statements on proposed or enacted legislation, regulation, or other public policy.
  • Ensure legal and ethical integrity, and maintain accountability. 
  • To fulfill its governance role, the EMA Board of Directors meets one time per month, generally via prescheduled teleconference to discuss and act on routine Board business. Board calls typically last one hour. In place of two of the monthly conference calls, the Board attempts to meet in person in connection with EMA's Spring and Fall meetings for one to two hours either immediately before or immediately after the conference. Board members are expected to come to all Board meetings prepared, having reviewed all materials distributed prior to the meeting, and to be ready to act on scheduled agenda items.
In addition, the Board meets one time per year, for one day, at a Strategic Planning session. The purpose of the session is to review the strategic vision of the EMA and to develop broad programmatic goals and objectives. The Strategic Planning session is forward looking, setting the EMA's goals for the next 12-24 months.
 
EMA Board members are also expected to set the example of service to the EMA as volunteers within the EMA. Board members are expected to actively serve as leadership (i.e., committee chair or co-chair, or Board liaison) on one or more committees such as Membership, Spring or Fall Program, Advocacy, or Communications. Time commitments will vary with the Committee assignment, but can vary from several hours per month, to several hours per week, depending on the assignment and the activities of a committee.
 
Board members work closely with paid staff (Executive Director) to implement Board policy and programs. It is the role of the Executive Director and Staff to maintain day-to-day financial and programmatic responsibility for the organization, and in this role reports to the Board of Directors as an employee of The Kellen Company.
 
The duties of officers of the Board of Directors (Chair, Vice-Chair, and Treasurer) are in addition to any duties described above. Officers are elected by the Board at the first Board meeting after election of the new Board members.
 
The EMA Board receives no compensation for time spent serving on the Board of Directors. However, the Board may elect to cover some out-of-pocket expenses associated with EMA related travel. Travel expenses above the level covered by EMA are the responsibility of the Board member.
